We're delighted to have helped with the merger of JP Morgan UK Smaller Companies and JP Morgan Mid Cap, creating a larger, more liquid portfolio of more than £400m. JPMorgan UK Smaller Companies (JMI), the slightly larger of the two with net assets of £227m, will be renamed JPMorgan UK Small Cap Growth & Income after the voluntary liquidation of JPMorgan Mid Cap (JMF).
At the Company’s General Meeting yesterday, JMF shareholders voted overwhelmingly in favour of the proposed combination. John Evans, chairman of JMF, said: “The new combined vehicle will afford the managers the freedom to allocate capital across the enlarged universe where the opportunities are most attractive including maintaining, if they consider it appropriate, a significant exposure to constituents of the FTSE 250 index, while also investing in AIM traded companies.”
Black&Callow produced shareholder documentation including a Scheme of Arrangement for both JMI and JMI. Our thanks to our wonderful clients at advisors Panmure Gordon, Investec and Herbert Smith Freehills.
