2024 saw Black&Callow hitting the top spot across three markets:
- #1 in M&A documentation
- #1 in Investment Trust merger documentation
- #1 in Main Market and larger AIM IPOs
Of the 33 largest M&A deals of the year (according to data supplied by Peel Hunt to to City AM), we produced shareholder documentation for 17, totalling more than those produced by all our peers combined. The total transaction value of those B&C-produced deals amounted to £20.3bn, double that of our nearest peer and representing nearly 50% of the combined value of all 33 deals.
Notable among these were multibillion-pound cross-border deals such as US private equity firm Thoma Bravo’s £4.3bn takeover of cybersecurity company Darktrace and Nationwide’s £2.8bn purchase of Virgin Money.
In Investment Trusts, we produced five of the ten largest mergers, as many as all of our peers combined, including UK Commercial Property REIT's merger with Tritax Big Box which created a company with total assets of £6.1bn: the largest funds deal of the year.
In ECM, we helped with 12 of the largest AIM listings and four Main Market listings including Applied Nutrition's £157.5m IPO, which was the second largest Main Market IPO of 2024 and the largest to have a professionally typeset and printed Prospectus. In addition, B&C topped the charts ranked by new funds raised at IPO and by overall pagination (combined pages across all Prospectuses), as well as producing more Main Market IPOs than our peers.
In all, we produced some 1,080 separate 'deal documents': everything from bulk email projects for Insolvency and Restructuring clients through personalised Proxy Forms to complex Prospectuses and Scheme documents, and in quantities ranging from one copy to tens of thousands.
iRoadshow from B&C also helped a number of high-profile projects take flight, including the historic US$370m IPO of Air Astana: the first domestically and internationally to achieve simultaneous listing on three stock exchanges, the Kazakhstan Stock Exchange, Astana International Exchange and London Stock Exchange.
In Corporate Reporting, in 2024 we helped global clients produce 82 Annual, Interim and ESG Reports. Our services ranged from full Best Practice content consultancy through copywriting, creative design, typesetting, production (printed and online) and distribution/mailing.
