Fertiglobe, the partnership between OCI N.V. (Euronext: OCI) and Abu Dhabi National Oil Company (ADNOC), along with its advisors, the global law firm Shearman & Sterling.
OCI and ADNOC were keen to pursue an IPO for Fertiglobe on the Abu Dhabi Securities Exchange (ADX) and needed both a financial printer to help with Listing documentation and a Virtual Data Room (VDR) provider to help with its Due Diligence processes.
One of the challenges involved producing the 328-page Prospectus within a short time frame, with intense proofing on a rush basis, and ensuring copies were simultaneously available in the UAE as well as London once the Prospectus was approved for publication.
Courtesy of our partnership with the world’s leading VDR provider, Intralinks, we were able to help the client with both its Due Diligence and Prospectus documentation needs. Our unrivalled in-house typesetting capacity and meant we could turnaround proofs accurately and to the tightest deadlines, giving the client extra time at the critical approval stages.
The IPO was the third largest ever to be listed on ADX and was 22 times oversubscribed. The bookbuilding process raised US$795m with total gross proceeds of US$17.4bn, giving the newly listed company a market cap of US$5.8bn.
